Bain Capital has announced its agreement to acquire a majority stake in Namirial from Ambienta, reflecting a growing interest in sustainability-focused software companies. The transaction is anticipated to finalize in the second quarter of 2025, with Namirial’s founder Enrico Giacomelli and CEO Max Pellegrini retaining a significant ownership share.
Namirial, established in 2000 and based in Italy, is a leader in digital transaction management. The company provides Software as a Service (SaaS) solutions that enable businesses to transition from paper-based processes to secure digital workflows. Since Ambienta took ownership in 2020, Namirial has expanded its reach across Europe, Latin America, and Southeast Asia, now serving over 3 million users and 150,000 clients in more than 85 countries.
During its tenure, Ambienta executed a transformative growth strategy that included seven acquisitions and substantial operational improvements. The firm’s commitment to sustainability played a crucial role in Namirial’s development, resulting in significant environmental benefits, such as saving over 1.2 million cubic meters of water and reducing CO₂ emissions by nearly 50,000 tonnes.
Bain Capital aims to capitalize on Namirial’s existing momentum by utilizing its expertise in scaling technology companies on a global scale. Giovanni Camera, a partner at Bain Capital, emphasized Namirial’s commitment to innovation and compliance as essential factors for its international growth potential.
Ambienta received advisory support for the transaction from a range of firms, including Arma Partners, Rothschild & Co, Pedersoli Gattai, Bain & Co, KPMG, FRM, West Monroe, and Marsh.
